Vyop — Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using the Vyop application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must immediately discontinue use of the App.

These Terms constitute a legally binding agreement between you ("User") and Vyop ("we," "our," or "us").

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use this App. By using the App, you represent and warrant that you meet this requirement.

The App is intended for use by shopkeepers, small retailers, and business owners in India for lawful business purposes only.

3. Description of Service

Vyop is a business management application designed for shopkeepers and retailers. The App provides tools for:

Inventory management Voice-based and manual billing and invoicing Customer management Staff and marketer management Basic business analytics The App is provided on an "as is" and "as available" basis.

4. User Accounts

When creating an account, you agree to:

Provide accurate, current, and complete information Keep your account credentials confidential Accept full responsibility for all activities that occur under your account Notify us immediately at vyop4shop@gmail.com of any unauthorized access or suspected breach Vyop will not be liable for any loss resulting from unauthorized use of your account.

5. Local-First Storage — Data Loss Risk and Backup Responsibility

Please read this section carefully. It directly affects your business data.

Vyop uses a Local-First architecture. Your data is stored primarily on your device before being synced to the cloud.

5.1 Risk of Data Loss

You acknowledge and agree that:

If you uninstall or delete the App, all locally stored data that has not been synced will be permanently and irrecoverably lost If your device is lost, stolen, damaged, reset, or replaced, any unsynced local data may be permanently and irrecoverably lost If your device storage becomes corrupted or full, locally stored data may be lost Vyop does not guarantee the recovery of locally stored data that has not been successfully synchronized to the cloud

5.2 Your Backup Responsibility

You are solely responsible for:

Regularly backing up your business data using the App's export feature Ensuring your device has an active internet connection to allow cloud synchronization Keeping the App installed and your account active to maintain ongoing sync

5.3 Limitation of Liability for Data Loss

To the maximum extent permitted by applicable law, Vyop shall not be held liable for any loss of data resulting from App deletion, device loss, device damage, storage failure, or loss of internet connectivity. This limitation applies regardless of whether the data was related to ongoing transactions, billing records, customer information, or inventory.

We strongly recommend regularly exporting your data from within the App.

6. Acceptable Use

You agree not to:

Use the App for any unlawful purpose or in violation of any applicable regulations Attempt to gain unauthorized access to any part of the App or its infrastructure Reverse engineer, decompile, or attempt to extract the source code of the App Interfere with or disrupt the App's functionality or servers Upload or transmit viruses, malware, or any malicious code Use the App to store or process data that infringes upon the rights of others Misrepresent your identity or business information Attempt to scrape, harvest, or aggregate data from the App

7. Ownership of Business Data

You retain full ownership of all business data you enter into the App, including:

Inventory records Customer information Bills, invoices, and transaction history Vyop does not claim ownership over your business data.

You are responsible for:

The accuracy of data you enter Ensuring your data complies with applicable laws, including the Information Technology Act, 2000 and any applicable data protection regulations in India Obtaining any necessary consent from customers before storing or using their personal information in the App

8. Voice Services

By using the voice billing feature, you agree to the following:

Voice input is temporarily transmitted to a third-party AI transcription service for processing You consent to this temporary transmission for the sole purpose of converting speech to billing commands Voice input should not contain sensitive personal information beyond what is needed for billing You are responsible for ensuring that any individuals whose voice may be captured (e.g., in a shop environment) have been made aware of this feature Vyop is not liable for errors in voice transcription that result in incorrect billing entries

9. Billing and Invoicing

The billing and invoicing features are tools to assist your business operations. You are solely responsible for:

The accuracy of all invoices generated Compliance with applicable GST and tax regulations Meeting all statutory billing requirements under Indian law The App does not provide tax, legal, accounting, or financial advice.

10. Intellectual Property

All content within the App — including but not limited to its design, user interface, source code, logos, branding, and documentation — is the exclusive intellectual property of Vyop and is protected under applicable intellectual property laws, including the Copyright Act, 1957 (India) and the Trade Marks Act, 1999 (India).

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App solely for your personal business purposes in accordance with these Terms.

You may not copy, distribute, modify, reproduce, or create derivative works based on the App or its content without our prior written consent.

11. No Warranty

The App is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that:

The App will be free from errors or bugs The App will be secure at all times The App will be continuously available without interruption Voice transcription or NLP features will be 100% accurate

12. Limitation of Liability

To the maximum extent permitted by applicable law, Vyop and its founders, employees, and agents shall not be liable for any:

Indirect, incidental, special, consequential, or punitive damages Loss of profits, revenue, or business opportunities Loss of data (including locally stored unsynced data — see Section 5) Loss resulting from reliance on billing or invoicing features Loss resulting from third-party service failures (Firebase, Groq, Cloudinary, etc.) arising out of or in connection with your use of the App, even if Vyop has been advised of the possibility of such damages.

Our total liability to you for any claim arising from your use of the App shall not exceed the total fees paid by you to Vyop in the three (3) months prior to the event giving rise to the claim, or INR 1,000, whichever is lesser.

13. Force Majeure

Vyop shall not be liable for any failure or delay in performance of its obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

Natural disasters, floods, earthquakes Government actions, regulations, or sanctions Internet or telecommunications failures Third-party service outages (e.g., Google Firebase, Groq) Power failures Pandemic or public health emergencies In such events, Vyop's obligations are suspended for the duration of the force majeure event.

14. Third-Party Services and Links

The App integrates with third-party services (Firebase, Groq, Cloudinary). Your use of those services is governed by their respective terms and privacy policies. Vyop is not responsible for the availability, accuracy, or conduct of third-party services.

15. Service Availability

We strive to keep the App available at all times, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue the App or any feature at any time, with or without prior notice.

16. Account Termination

By You

You may delete your account at any time through App Settings. See our Privacy Policy for how data is handled upon deletion.

By Vyop

We reserve the right to suspend or terminate your account, remove content, or restrict access if:

You violate these Terms We are required to do so by applicable law Your account is suspected of fraudulent or abusive activity Upon termination, your right to use the App ceases immediately. Data will be handled in accordance with our Privacy Policy.

17. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the App, you consent to the data practices described in our Privacy Policy.

18. Changes to Terms

We may update these Terms of Service from time to time. Changes will be posted with an updated "Last updated" date. We will notify users of significant changes through in-app notifications where possible. Continued use of the App after changes constitutes acceptance of the updated Terms.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

19.1 Informal Resolution

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally by contacting Vyop at vyop4shop@gmail.com. We will attempt to respond and resolve within 30 days.

19.2 Jurisdiction

If informal resolution fails, any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Rajasthan, India.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vyop with respect to the App and supersede all prior agreements, understandings, or representations.
